By using our website, booking a discovery call, engaging our services, or otherwise interacting with Onyx AI, you confirm that you:

• Have the legal authority to enter into a binding agreement on behalf of yourself or your business

3. Services Provided

Onyx AI provides the following done-for-you services:

• Inbound Voice AI: Custom AI voice agents that answer, route, and book appointments from inbound phone calls
• Outbound Voice AI: Automated outbound calling for follow-ups, reminders, and lead reactivation
• Workflow Automation: CRM integrations, calendar syncing, and business process automation

All services are delivered as described in individual service agreements or proposals. Service scope, deliverables, and timelines will be outlined in a separate agreement between Onyx AI and the client.

4. Use of Our Website

You agree to use our website only for lawful purposes. You must not:

• Use the site to transmit any unsolicited or unauthorised advertising or promotional material
• Attempt to gain unauthorised access to any part of our systems or infrastructure
• Use any automated tools (scrapers, bots) to access or collect data from our website
• Engage in any conduct that could damage, disable, or impair the functioning of our website
• Misrepresent your identity or affiliation with any person or entity

5. Intellectual Property

All content on this website — including but not limited to text, design, graphics, logos, and code — is the property of Onyx AI or its licensors and is protected by applicable intellectual property laws.

Unless explicitly agreed otherwise in writing, any AI voice agents, workflows, or systems we build for a client become the property of that client upon full payment of applicable fees. Onyx AI retains the right to reference the engagement as a case study or portfolio example unless the client requests otherwise in writing.

6. Booking & Discovery Calls

By booking a discovery or demo call through our website, you agree to:

• Provide accurate information about yourself and your business
• Attend or cancel the call with reasonable notice (at least 24 hours where possible)
• Understand that booking a call does not constitute a binding service agreement

Information shared during a discovery call is treated as confidential by Onyx AI and will not be disclosed to third parties without your consent.

7. Payments & Refunds

Payment terms for services are outlined in individual client agreements. As a general policy:

• Setup fees are typically 50% due upon agreement and 50% upon delivery
• Monthly retainer fees are billed in advance on the 1st of each calendar month
• Refunds are not available for completed work or for monthly retainer periods already in progress
• All fees are stated in USD unless otherwise agreed in writing. Clients in the UAE may be invoiced in AED at the prevailing exchange rate

8. AI Voice Services — Important Disclosures

Our AI voice agents use third-party technology providers including, but not limited to, Vapi, ElevenLabs, Deepgram, and large language model providers. By using our services, you acknowledge:

• AI voice agents may occasionally produce inaccurate or unexpected responses
• All AI agents deployed by Onyx AI are configured to disclose that callers are speaking with an AI system
• Voice calls may be recorded and processed for quality assurance, transcription, and system improvement purposes
• You are responsible for ensuring your use of AI voice services complies with applicable laws in your jurisdiction, including any requirements related to call recording consent

9. Limitation of Liability

To the fullest extent permitted by applicable law, Onyx AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website. Our total aggregate liability to you for any claim arising under these Terms shall not exceed the total fees paid by you to Onyx AI in the three months preceding the claim.

10. Disclaimer of Warranties

Our website and services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or that any defects will be corrected. We make no guarantees regarding specific results, revenue outcomes, or lead generation from our AI systems.

11. Third-Party Links & Services

Our website may contain links to third-party websites or we may use third-party platforms (GoHighLevel, Vapi, Supabase, etc.) to deliver our services. We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is governed by their respective terms.

12. Termination

Either party may terminate a service engagement by providing written notice as specified in the applicable service agreement. We reserve the right to terminate or suspend access to our website and services at our discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or for any other reason.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Emirate of Dubai and the United Arab Emirates. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE, unless otherwise required by applicable law.
